KKR's Spectris takeover clears regulatory hurdles in UK, Ireland, Sweden

The proposed acquisition of Spectris by KKR moved a step closer to completion on Wednesday, after receiving several key regulatory clearances.

Project Aurora Bidco, the KKR-backed special purpose vehicle, and Spectris announced that authorities in the United Kingdom, Ireland, and Sweden had cleared the takeover.

The Chancellor of the Duchy of Lancaster confirmed that no further action would be taken regarding the acquisition under the UK’s National Security and Investment Act.

Additionally, foreign direct investment authorities in both Ireland and Sweden had issued decisions either granting clearance or confirming that the transaction did not require screening under their respective laws.

The companies confirmed that the approvals satisfied several conditions laid out in the Scheme Document circulated to shareholders on 29 July.

With the approvals secured, Spectris said that filing processes in other jurisdictions were progressing in line with expectations.

Subject to the satisfaction of the remaining conditions, the scheme was now expected to become effective in or before the first quarter of 2026.

At 0909 BST, shares in Spectris were up 0.3% at 4,062p.
